This is a boilerplate terms of service intended for the MVP launch. Aaron will refine this with a lawyer before the v0.1.0 OSS release.
Acceptance
By creating an account at app.netdexperts.com or running the self-hosted Netdexpert software, you agree to these terms. If you don’t agree, don’t use the service.
Service description
Netdexpert is an AI-native project management tool offered in two distributions:
- Hosted cloud at
app.netdexperts.com, billed per user per month. - Self-hosted open source at
github.com/netdexperts/netdex, free to run under the Functional Source License (FSL-1.1).
These terms govern the hosted cloud service. The self-hosted distribution is governed by the LICENSE file in the repository.
Acceptable use
You can use Netdexpert to manage your own projects, your team’s projects, or projects on behalf of clients. You agree not to use it to:
- Store or distribute illegal content.
- Send spam or unsolicited bulk email.
- Attempt to bypass tenant isolation or access other customers’ data.
- Reverse-engineer the cloud service to clone it as a competing product.
- Use it to abuse, harass, or harm anyone.
If you do any of these, we may suspend or terminate your account.
Subscriptions + billing
Pricing is listed at /pricing. Plans renew automatically each billing cycle. You can cancel at any time from the Dodo Payments customer portal (linked from your account settings); cancellation takes effect at the end of the current billing period.
We may change pricing for new plans at any time. Existing customers will be notified at least 30 days before any change applies to them.
Refunds: pro-rated refunds available within 30 days of first purchase if the product doesn’t meet your needs. After 30 days, no refunds for unused time.
Termination
We may terminate your account if you violate these terms. You may terminate at any time by cancelling your subscription and deleting your account.
On termination, we retain your data for 30 days (in case you change your mind), then permanently delete it.
Disclaimer + limitation of liability
The service is provided “as is”, without warranty of any kind, express or implied. We don’t guarantee uninterrupted operation, error-free behaviour, or that the service will meet your specific requirements.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these terms or the service is limited to the amount you paid us in the 12 months preceding the claim.
Governing law
These terms are governed by the laws of Australia. Any dispute will be resolved in the courts of New South Wales.
